Manages and negotiates strategic transactions for Oracle Corporation, including mergers and acquisitions, strategic licensing, minority investments and joint ventures.
Evaluate potential licensing and investment opportunities. Determine/advise on deal structure. Negotiate term sheets and definitive agreements with third parties. Coordinate internal teams consisting of legal, finance, and business representatives to execute deal. Facilitate approval process.
Assists in the development of short, medium, and long term plans to achieve strategic objectives. Regularly interacts across functional areas with senior management or executives to ensure unit objectives are met. Licensing and/or equity deal negotiation experience. Financial analysis capabilities. Broad understanding of Oracle*s products and services. Familiarity with tax and accounting implications of various deal structures.

Description: The corporate development director will negotiate commercial inbound software licensing agreements, manage approval content and processing for inbound content agreements and drive M&A-related commercial inbound agreement diligence. This individual will need to work with all levels of inbound partner as well as Oracle management and line organizations to drive relationships from the time the decision is made to inbound a technology through to definitive agreement negotiations. In this capacity, this individual will interact with all internal Oracle organizations including development, royalties, legal and others to identify opportunities to leverage partnerships for continued Oracle success .
Essential Duties and Responsibilities:
* Commercial Software Inbounding
o Develop partner opportunities with Development executives from the time a decision to inbound (i.e. license or OEM) a technology is being considered
o Counsel Development on the creation of a concept approval document that captures the merits of the proposed relationship
o Structure then negotiate term sheets for inbound agreements with prospective partners
o Communicate resulting agreement specifics to affected Oracle organizations to ensure agreement compliance
o Manage and monitor Inbound agreement obligations
o Where possible, leverage partnership across additional Oracle product lines to maximize value
* M&A-related Inbound Diligence
o Perform diligence on target company commercial software and content IP
o Work with target companies and Oracle line organizations to resolve issues
o Brief executive management on key findings as needed
* Process Development
o Assist in the development of processes that will improve the efficiency of the Licensing organization and those organizations that are involved with supporting commercial inbound agreements and/or inbound diligence
Experience Profile:
Proven licensing experience with enterprise software, services or technology vendor. Knowledge of Cloud solutions a plus. Ideal candidate has 5 years of Inbound Licensing experience with proven experience in negotiating complex agreements. Experience in business development, sales, alliance support, or marketing management a plus. Strong communication and project management skills a must with demonstrated competence presenting to management and partners. Bachelor s degree in business, finance, or law degree is required. An MBA is a plus.
